These are the terms and conditions for website design and web services. The terms and conditions apply to all the contracts and works undertaken by Sender Company for its clients.
(a) All payments shall be made in USD.
(b) An initial deposit of Website Project Deposit percentage of the total project fee is due before project commencement.
(c) The remaining project fees will be invoiced in milestone-based installments as outlined in the proposal.
(d) For ongoing web services, such as maintenance and support, Client Company will receive a monthly invoice on the first business day of each month, payable within Payment Due Period_Maintenance and Support day(s).
(e) Failure to make payments within the agreed period will constitute a breach of contract and may result in suspension of services or other remedies as specified in this agreement.
(f) Final deliverables and source files will be provided only after full payment of the applicable fees.
Sender Company guarantees that all services will be completed within the agreed-upon timeframe with professionalism. All information that is considered proprietary by the Client will be handled confidentially during and after the project term. All rooms for improvement, suggestions, and rectifications are thrown open.
Sender Company assumes Client Company has permission from the rightful owner to use any code, data, and reports that are provided by Client Company for inclusion in the web materials and will indemnify Sender Company from any claim or suit arising from the use of such work.
(a) Upon completion of each project milestone or monthly deliverable, Client Company will have Suggestion Timeline in Days day(s) to review the work and provide feedback or request changes.
(b) If no feedback is received within this period, the work will be deemed accepted.
(c) Minor change requests within the review period will be addressed promptly at no additional cost, provided they fall within the agreed scope.
(d) Major changes or requests beyond the original scope may require a separate agreement and additional fees.
(e) Once the work is approved or deemed approved, Client Company cannot reject it, and any outstanding payments related to that milestone or deliverable will become due immediately.
