This LLC Operating Agreement or Limited Liability Company Operating Agreement (“Agreement”) is made and shall be effective as on Date.
This Multi-Member LLC, entered into, By and Between Number of Members members known as:
They are collectively referred to as the “Members” and individually as the “Member”.
AND WHEREAS the Member(s) desire to create a limited liability company under the laws of the State of State and set forth the terms herein of the Company’s operation and the relationship between any and all Member(s).
NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other valuable consideration, the receipt and sufficiency of which hereby are acknowledged, the Member(s) and the Company agree as follows:
The name of the Company shall be Company Name, LLC with a principal place of business located at Address or at any other such place of business that the Member(s) shall determine.
The Company was incorporated on Date, when the Member(s) filed the Articles of Organization with the office of the Secretary of State pursuant to the statutes governing limited liability companies in the State of State.
The purpose of the Company is to engage in and conduct any lawful business, activity, or function, as well as any related or incidental activities, as determined by the Members at their discretion.
Multi-Member Capital Contributions. The Members have each contributed the capital amounts listed below to the Company and have no obligation to make any further capital contributions.
Member(s) do not have the right to withdraw or reduce their capital contributions to the Company until it is terminated, unless specified otherwise in this Agreement. Members are also not entitled to demand or receive distributions in any form other than cash and will not earn interest on their capital contributions.
A Member's liability for the Company's losses, debts, liabilities, and obligations is limited to the amount of their capital contribution, any distributions they have received, their share of any undistributed assets of the Company, and (as required by applicable law) any amounts previously distributed to them by the Company.
